1. Agreement to Terms
By accessing or using the Closly platform at closly.app and all associated subdomains (the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.
If you do not agree to these Terms, you must not access or use the Service.
2. Description of the Service
Closly is an AI-powered voice training platform designed for sales teams. The Service provides simulated voice calls and chat interactions with AI-generated leads, performance analytics, feedback, and team management tools. All interactions within the platform are simulations intended for training purposes only — they do not involve real customers or prospects.
3. Eligibility
You must be at least 18 years old to use the Service. By creating an account, you represent that you are at least 18 years of age and have the legal capacity to enter into these Terms. The Service is intended for business and professional use.
4. Account Registration and Security
To access the Service, you must create an account by providing accurate and complete information. You are responsible for:
- Maintaining the confidentiality of your login credentials
- All activities that occur under your account
- Notifying us immediately at support@closly.app if you suspect unauthorized access to your account
We reserve the right to suspend or terminate accounts that violate these Terms or contain inaccurate information.
5. Acceptable Use
You agree not to:
- Use the Service for any unlawful purpose or in violation of any applicable laws or regulations
- Attempt to reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of the Service
- Interfere with, disrupt, or place an undue burden on the Service or its infrastructure
- Use automated tools (bots, scrapers, etc.) to access the Service without our prior written consent
- Transmit any malicious code, viruses, or other harmful material through the Service
- Impersonate any person or entity, or misrepresent your affiliation with any person or entity
- Share, sublicense, or redistribute access to the Service to unauthorized third parties
- Use the AI training features for purposes other than legitimate sales training and education
6. Voice Recordings and AI Interactions
By using the voice call and chat features, you acknowledge and agree that:
- All simulated calls are recorded and transcribed for the purpose of providing feedback, performance tracking, and analytics.
- Recordings, transcripts, and AI-generated evaluations are stored in association with your account and may be accessible to your organization's administrators.
- AI-generated feedback, scores, and coaching suggestions are produced by automated systems and are provided for informational and educational purposes only. They do not constitute professional advice.
- You should not share real customer data, personal health information, financial data, or other sensitive information during simulated calls or chat interactions.
7. Intellectual Property
The Service, including its design, code, AI models, training scenarios, branding, and all related intellectual property, is owned by Closly and protected by applicable intellectual property laws. You are granted a limited, non-exclusive, non-transferable, revocable license to use the Service in accordance with these Terms.
You retain ownership of any business data, notes, and content you input into the Service. By using the Service, you grant us a limited license to process this data solely for the purpose of providing and improving the Service.
8. Service Availability and Modifications
We strive to maintain high availability of the Service but do not guarantee uninterrupted or error-free access. The Service is provided on an "as is" and "as available" basis. We may:
- Perform scheduled or emergency maintenance that may temporarily affect availability
- Modify, update, or discontinue features of the Service at any time
- Impose limits on certain features or restrict access to parts of the Service
We will make reasonable efforts to notify you of significant changes in advance.
9. Payment and Subscriptions
Access to the Service may require a paid subscription. Payment terms, pricing, and billing details are communicated separately during the subscription process or through your organization. Unless otherwise stated:
- All fees are quoted in the currency specified at the time of purchase and are exclusive of applicable taxes
- Fees are non-refundable except where required by applicable law
- We reserve the right to change pricing with at least 30 days' notice before the next billing cycle
10. Limitation of Liability
To the maximum extent permitted by applicable law:
- Closly shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, revenue, data, or business opportunities, arising out of or related to your use of the Service.
- Our total aggregate liability for any claims arising under these Terms shall not exceed the amount you paid to Closly in the twelve (12) months preceding the event giving rise to the claim.
- We are not responsible for any decisions made based on AI-generated feedback, scores, or recommendations provided through the Service.
11. Disclaimer of Warranties
The Service is provided "as is" and "as available" without warranties of any kind, whether express, implied, or statutory, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
We do not warrant that the AI-generated content, feedback, or training scenarios will be accurate, complete, or suitable for any specific business outcome. The Service is a training tool and should not be relied upon as a substitute for professional sales coaching or business advice.
12. Indemnification
You agree to indemnify, defend, and hold harmless Closly, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in any way connected with your access to or use of the Service, your violation of these Terms, or your violation of any third-party rights.
13. Termination
Either party may terminate the use of the Service at any time:
- By you: you may close your account at any time by contacting us at support@closly.app.
- By us: we may suspend or terminate your access immediately if you breach these Terms, or with 30 days' notice for any other reason.
Upon termination, your right to use the Service ceases immediately. We will delete your personal data in accordance with our Privacy Policy, unless retention is required by law.
14. Governing Law and Dispute Resolution
These Terms are governed by and construed in accordance with the laws of Italy and applicable European Union regulations. Any dispute arising from or relating to these Terms or the Service shall be subject to the exclusive jurisdiction of the competent courts in Italy, without prejudice to any mandatory consumer protection provisions that may apply in your jurisdiction.
15. Changes to These Terms
We reserve the right to modify these Terms at any time. If we make material changes, we will provide at least 30 days' advance notice by posting the updated Terms on the Service or by sending you an email notification. Your continued use of the Service after the updated Terms take effect constitutes your acceptance of the changes.
If you do not agree to the updated Terms, you must stop using the Service and close your account.
16. Severability
If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall continue in full force and effect. The invalid or unenforceable provision shall be modified to the minimum extent necessary to make it valid and enforceable.
17. Entire Agreement
These Terms, together with our Privacy Policy, constitute the entire agreement between you and Closly regarding the use of the Service and supersede any prior agreements or understandings.
